Terms of Service
Comprehensive rules for a legally secure collaboration.
1. Scope of Application
These Terms of Service (ToS) apply to all contracts, services, and offers of Xeno Development, owner Marius Wözel (hereinafter "Provider"). Deviating conditions of the customer are not recognized unless the Provider expressly agrees to their validity in writing.
2. Conclusion of Contract & Right of Withdrawal
The presentation of services on the website is non-binding. A contract is only concluded upon invoicing or written confirmation. Since the websites and Discord Bots are custom-built software tailored to the customer's specific requirements, the statutory right of withdrawal is excluded for these services once implementation has begun.
3. Prices and Payment
Payment is made exclusively by bank transfer (payment in advance). Order processing begins only after full receipt of payment. Invoices for subscriptions must be paid in advance.
4. Customer Responsibilities
The customer is obliged to provide all information, texts, images, API keys, or Discord tokens necessary for implementation promptly and in appropriate quality. Delays caused by a lack of cooperation on the part of the customer will extend the agreed delivery time accordingly.
5. Usage Rights & Intellectual Property (IP)
The Provider retains all copyrights to the written code. The customer receives a simple, non-transferable right of use for the duration of the contract term. The source code will not be released, neither in open nor obfuscated form, unless a separate "Source Code Buyout" has been contractually agreed upon for a respective fee. Reverse engineering or decompiling the software is strictly prohibited.
6. Hosting & Third-Party Providers
The developed bots are hosted as a "Managed Service" on the Provider's servers by default. The Provider strives for high availability but does not guarantee 100% uptime. Maintenance work or data center outages (e.g., from hosting partners) are beyond the Provider's control.
7. Subscriptions and Cancellation
Maintenance and hosting subscriptions have the contractually agreed term (e.g., 1, 3, 6, or 12 months). Cancellations must be made in text form (e.g., email) at least 14 days before the end of the current period. If not canceled in time, the subscription automatically renews for the previous term.
8. Limitation of Liability (API Changes)
Software and bots often interact with third-party APIs (especially the Discord API). The Provider is not liable for malfunctions caused by unannounced updates, policy changes, or restrictions by Discord or other third parties. Necessary adjustments due to such changes may be billed on a time and materials basis unless covered by an active maintenance contract.
9. Delivery Times
The regular development time is 5 to 10 business days after receipt of payment and complete transmission of all customer materials. These are guide values, not binding fixed dates, unless expressly agreed otherwise.
